ALGEMENE VOORWAARDEN / Invoice Terms & Conditions

• Payment of this invoice constitutes full and unconditional acceptance of the following terms.

• Articale 1: Payment term

  • All invoices are payable within 14 calendar days from the invoice date, without deduction, withholding, compensation or set-off. or otherwise requested

• Articale 2: Late payment interest

  • In accordance with the Richtlijn 2011/7/EU betreffende bestrijding van betalingsachterstand bij handelstransacties, any late payment automatically incurs interest calculated at the European Central Bank reference rate plus eight (8) percentage points, calculated from the due date until full payment.

• Articale 3: Recovery costs

  • In addition to interest, the Client shall owe a minimum fixed compensation of €40, without prejudice to VisionCyberX’s right to claim additional recovery costs including lawyer, bailiff and collection fees.

• Articale 4: Acceleration clause

  • Failure to pay any invoice on its due date shall make all outstanding invoices immediately due and payable.

• Articale 5: Suspension of services

  • VisionCyberX reserves the right to suspend all services, advisory activities, support and delivery of results until full payment has been received.

• Articale 6: Retention of deliverables

  • All reports, analyses, security frameworks, compliance roadmaps and documentation remain the exclusive property of VisionCyberX until full payment of all invoices has been received.

• Articale 7: Invoice disputes

  • Any dispute relating to this invoice must be notified in writing within 5 calendar days from the invoice date. Failing such notification, the invoice shall be deemed irrevocably accepted.

• Articale 8: Limitation of liability

  • VisionCyberX liability shall in all circumstances be limited to the value of the invoiced services concerned. VisionCyberX shall not be liable for indirect damages, loss of profits, loss of data, reputational damage or business interruption.

• Articale 9: Applicable law and jurisdiction

  • All invoices are governed exclusively by Belgian law. Any dispute shall fall under the exclusive jurisdiction of the courts of Antwerp, Belgium.
